    Would people think this is safe for company or should I add more?

    - Reforms
    - SLP
    - Corporate Authority
    - Shares and Share Transfer
    - Shareholder Protection
    - Director's Duties
    - Restriction & Disqualification
    - Corporate Borrowing

    I think winding up is a good topic to have, it comes up often and didn't come up last sitting i'm nearly sure

    Could anyone help me understand priority of debts in liquidation I've confused myself no end.

    So section 617(2) says that costs and expenses incurred in winding up including liquidators costs are to be paid in priority to all other claims, however in my manual and in a sample answer the priorities are listed as follows:

    • Retention of title contracts
    • Property held on trust returned
    • Property subject to equities
    • Third party insurance
    • Set off mutual debts between creditor and company
    • Costs of creditors proceedings
    • Secured creditors (fixed charge holders)
    • Judgment creditors
    • Liquidators costs
    • Preferential creditors: Revenue Commissioners get 1 years assessed tax, Company employees are paid and Rating authority is paid
    • Floating charge holders are paid
    • Unsecured creditors are paid, if the assets are insufficient they are paid pari passu
    • Members and contributories are paid

    So why are liquidators costs way down this list if section 617 says they should be paid first?

    Any insight appreciated, finding company law such a struggle :(

    From what I can remember, if the liquidator realises assets in respect of a fixed charge holder, then his fees will be retained by agreement. Once the assets are distributed to the fixed charge holders, super-preferential creditors, then the priority is
    1. liquidation costs and expenses
    2. preferential creditors
    3. floating charge holders
    4. unsecured creditors
    5. members/contributories

    So somewhat, the liquidator gets paid first

    I’m open to others correcting me though :) it’s been a while since I’ve done company and also struggled with it

    The chapter on liberty has a section on detention for therapeutic/public health grounds. Key cases: VTS v HSE and AC v CUH

    I don't think there is a general chapter but I would answer this by discussing limitation/restriction of the right in question and the Heany v Ireland proportionality test

    are people leaving out product liability and nervous shock or including them? or would it be best covering product liability and leaving out occupiers liabilty since ocupier liabilty was up in august online?

    also i feel very dumb asking this but to establish a duty of care do you have to use glencar test and go through each element of the test like proximity,forseebility fair just and reasonable and give examples of cases which show these and then establish if one is owed or how would ye approach it?

    I'm pretty sure occupiers liability was not on the online August exam (or the physical one).

    I'm the same, exhausted!

    I'm really struggling with Tort! I haven't had much time off so i'm only half way through revising my notes. I'm a good crammer but I feel like im drowning in this one! Tryna stay positive

    I sympathise because i've just done tort in August and it is tough! Fingers crossed for a nice exam paper for you tomorrow:) and praying company property and constitutional will be nice for me this sitting too!

    the link for the tort exam is up on better examinations but says we only have 3 hours to complete the exam??

    I'm not sitting tort this sitting but as far as I remember that sounds correct to me. Can also include the recent case of UCC v ESB, just handy to show that you're up to date with the case law.

    In the case of UCC v ESB (July 2020) the SC confirmed that the starting point for any consideration of the extent of the DOC in the law of negligence must be the SC decision of Glencar Exploration plc v Mayo County Council (No 2) [2002].
    And then I would go through all the limbs of the Glencar test

    Bit of a weird question, but do you think we will be allowed talk to ourselves in the exam? I feel like if i'm not allowed to jot down an essay outline, I will need to talk myself through it! Sort of it plan it out loud, if that makes sense. I really don't find the sticky note feature helpful.

    do we just say out loud to the camera if we need to use the bathroom or do we have to get permision first does anyone know?
    also do we have to bring the laptop in first to prove theres no cheating or whatever in there does anyone know?

    I'm the same! I'm thinking i'll need to do writing gestures with my hand on the table just to get my thoughts flowing! Not the same with a keyboard i'm not the best typer and too concentrated on where the keys are haha

    To be honest I wouldn't do that without running it by the LS first, bc they're recording our audio to make sure we're not cheating or talking to anyone so it could look a bit suspicious if you're speaking during the exam as it might seem like you're talking to someone.
    I don't find the sticky note feature helpful at all either, I'll probably just do my 'plan' within the actual answer box and then use it as the basis of my answer, but since you wouldn't be able to talk out loud in a normal exam scenario I doubt that will be allowed when they can't see if you're talking to someone else

    I don’t think we have to - it just said bathroom breaks were permitted. Wouldn’t go showing them your toilet unprompted

    Would anybody have any idea how to address these essays. They were on the March and October 2019 exam papers.

    Tort law has developed over more than one hundred years without any coherent foundation or structure. Instead it represents a piecemeal ad hoc plan which responds to individual issues but not to any wider social or legal framework.

    Critically discuss this statement in the light of any potential reform of the role and function of tort law.



    Too often, courts have extended, restricted or modified tort law doctrines without paying due regard to the overall purpose that tort law is designed to achieve. A choice has to be made between the compensatory aim of tort law and its role in behaviour modification.

    Critically discuss this statement by outlining the fundamental objectives of tort law and illustrating this through relevant case law.


    I would have no idea what to write if a smilier essay arose tomorrow.
