All Dell shareholders got 0.44 shares of VMware , in US this was tax free , I was wondering what about in Ireland. These 0.44 shares of VMware per each shares of Dell that we got are all to be considered ' capital gains'?

I doubt it but I could be wrong. You didn't just get them for free. You got them as a split of the original Dell stock effectively.
