Software - ogg converter/ripper

    I'm looking for a program either to convert music from mp3 to ogg or from cd to ogg.
    Factors would be: FOr converter;
    must be free, fairly fast, convert back to original location and delete prior files
    For CD Ripper:
    Free, fairly fast,rip directly to its own folder in my music like wmp does,
    Able to find album info on the web and update it automatically,
    would like it to rip with album art but not essential.

    anyone know of a program like this?
