Any game recording software like fraps running?

Alt tab out when the game is running and check Task Manager and see whats eating your cpu.

Assume you have latest nvidia drivers, have you directx9.c and new sound drivers?

If your board has built in sound try get drivers from the maker ie CMI /VIa rather than use the windows default ones they suck.
