New Company Incorporation for UK based Company

    Dear Members,

    Probably a topic that has been discussed many times.

    We are a UK based small manufacturing company and post Brexit our sales a low understandably.

    We have decided to set up an EU base and Ireland seems like the obvious answer although we have looked at the Netherlands too.

    What we envisage is that the Irish company would have rights to distribute in the EU while the UK arm does UK/rest of world. Irish co would buy from UK at a transfer price then market and sell into the EU.

    None of us live in Ireland and we aren't planning on moving manufacturing to Ireland.

    I have a few questions

    Do we need a resident Irish director?

    What is the best set up to use ltd?

    Should the shares be owned by the UK company or should they be owned by people individually?

    Should we use the same company name or should it be different?

    Any other considerations?

    We would need to hire a person in Ireland for goods in / goods out and invoicing duties.

    Any recommendations for a good accountant with experience of the above?

    Do we need a resident Irish director? It needs to be an EEA resident (an Irish resident is better if you're looking for a VAT number)

    What is the best set-up to use ltd? (The minimum needed for an Irish Limited company is one director, one secretary (can't be the same person) one shareholder and an Irish registered office address.

    Should the shares be owned by the UK company or should they be owned by people individually? This decision you need to make, as different companies do it different ways, but you can have the shareholder as the UK entity or individual )

    Should we use the same company name or should it be different? Most companies would use the same name as it's all about building a brand.

    Any other considerations? will you have a presence in Ireland as it is harder to get a VAT number otherwise?

    We would need to hire a person in Ireland for goods in / goods out and invoicing duties. You can hire an employee to look after this stuff for you or you can hire a company. The employee will help with a VAT number as you're trying to prove to the revenue you have an Irish presence and these things help get a VAT number which I assume you will need.
