    I have a question regarding directors duties. If a director is the sole director and shareholder of a company and he enters into a contract with the company outside his position as director (such as becoming an employee of the company or selling something to the company), how does he declare his interest in the said deals?

    There's all sorts of law around this which is far too complicated for an internet forum.

    In Short it will be viewed as a deal to a connected person and treated with suspicion

    As above, that's the sort of question only someone acting in a professional capacity (and getting paid a professional rate) will be able to answer for you.

    The Director would want to be very careful in going about such a transaction to say the very (very) least.
