Law Assignment Literature

Hi I have to write an assignment for Corporate Governance and Business Ethis, especially about

1. The importance of corporate governance in the organisation
2. Two types of company officers and their duties
3. Introduction about the Public Interest Disclosure Act

Questions:
Could you recommend any web sources or books for this?
As well legal sources that apply?

Short answer would be already great enough, I follow it up then within my search.

I would try the publications sections of the big law firms (Cox, Frys, MOPs etc.). They usually have articles relating to these sorts of things.

I have a very vague memory that the CRO publishes a very good account of the role and responsibilities of company officers.

Are you at school or university? Last year, the Irish Law Times published a very comprehensive article on the PID Act. It should be available in your college library stacks.

The importance of good corporate governance should be chapter 1, paragraphs 1-10 of any book on corporate governance ever printed, I assume. I can only assume, because I doubt those books ever get read.

Google company secretary and directors duties.

Company secretary arranges meetings takes minutes , is responsible for cro filings etc.

Directors have fidicuary duties to the company, not to make a secret profit etc



3. Introduction about the Public Interest Disclosure Act


Google the act and read the explanatory memorandum of the act.

Not to sound smart, but you should really be researching these assignments yourself.

We all had to do it.

This is not a homework service and the benefit and learning process will be much better if you root out the info yourself.

In fairness, it sounds like the OP is not a law student, I think it's only helpful to give some pointers on law resources to someone who hasn't had the benefit of previous experience.

Naturally if some law undergrad comes on here asking where he can find Ryan v AG, or for us to summarize it, that'd be taking the piss.

The best sites would be those of the ODCE and the CLRG / company law review group. Also, borrow Tom Courtney's book on the Law and Private Companies.
