CRO Core B1 Submission

    Hi,

    I'm hoping to file a first B1 through Core over the next few days, and was wondering if someone more familiar with the form might cast an eye over the details and let me know if anything pops out.

    The company has authorised share capital of 100K, made up of 100K ordinary shares at €1 each. Issued share capital is 100 shares, all issued to one of the two directors. These 100 shares are paid for, covered in the fee an agent charged to set up the company. There are no other shareholders in the company.

    Here are the headings of the various pages, which information has to be entered under. Thank you.

    Company Details
    • Claim exemption

    List of past and present members
    • Enter total number of shares held as 100
    • Enter personal details for the director with 100 shares, including the class and number of shares held.
    • Don't add anything for the director with no shareholding.

    Authorised Share Capital
    • Authorised Share capital made up as follows: Class – Ordinary; Number of shares 100,000; Nominal value per share: €1

    Issued Share Capital
    • Issued Share Capital made up as follows: Paid up on shares issued for cash: 100; enter 0 on other categories

    Shares Issued
    • Set total number of shares issued A to 100
    • Set total amount paid to C to 100
    • Made up as follows: Class: Ordinary; number of shares 100
    • Question: What is total nominal value and total premium paid? 100 for each?
    • No to shares for consideration not for cash

    Totals
    • Total number of shares issued A + B: 100
    • Total paid and unpaid and considered paid (C) + (D) + (E) + (F) : 100

    If there was just €100 paid I.e. 100 shares @ €1 each then the total nominal value of issued shares is 100€. Share Premium is €0. Total nominal + premium =100.

    There's an automatic check done before you submit the form which will highlight any missing info/inconsistent tots etc. It will also compare the info in the form with the records held by the CRO and highlight any differences they find.

    Make sure you have a copy of the most recent Memo and Articles of the company, this should be the same version the CRO have on file and make sure the B1 agrees with the info in the M&A.
