Company Meetings - Who can call one ?

    Been reading up on Companies Act and documents from the Office of the Director of Corporate Enforcement on company meetings and found no answer to this.

    Can any Director of the company call a general meeting of all the companys member (i.e. the directors and shareholders) which in this case consists of 4 people.

    Also there is nothing in the articles of association saying one cannot.

    A meeting of Shareholders outside of the Annual General Meeting (AGM) is called an Extraordinary General Meeting (EGM).

    The standard form Articles of Association provide that:
    50. The directors may, whenever they think fit, convene an extraordinary general meeting, and extraordinary general meetings shall also be convened on such requisition, or in default, may be convened by such requisitionists, as provided by section 132 of the Act. If at any time there are not within the State sufficient directors capable of acting to form a quorum, any director or any 2 members of the company may convene an extraordinary general meeting in the same manner as nearly as possible as that in which meetings may be convened by the directors.


    A meeting of the Directors of a company is a different thing.
    meeting of all the companys member (i.e. the directors and shareholders)

    Directors are not (automatically) members. Members means shareholders.
