Commercial dispute

    Company A is a sales and marketing company.

    Company A hires Company B to perform certain duties for Company A.
    There is no written contract for service between Company A and Company B.
    Duties include Company B accessing Company A's customer database and transmitting part of that database to Company A's bank.
    Company B performs these duties for Company A for 2 years.

    Company A decides to terminate the business arrangement with Company B.


    At a later date, Company A alleges that Company B has stolen Company A's customer database when it (Company A) discovers that Company B is advising Company A's rivals of the rates used in Company A's database at a date after the contract was terminated.

    Company B's defence is it had accessed the information to perform the tasks as delegated by Comapny A and it could not perform the contract unless it accessed Company A's database during the period of the contract.

    can somebody advise me as to the veracity of Company A's allegation?

    There would be various factors which may impact on this - really only a solicitor with the full information could advise.
