limited company question

    Am thinking of setting up a ltd company.Can anyone tell me is it normal to purchase the off the shelf memorandum /articles of association. Am drafting the company constitution currently and am building the company rules but getting conflicting advice.Some people say keep the constitution simple and others say the opposite. The company is in relation to a charity.Any suggestions welcome

    Hi

    If you are forming a charity I would strongly advise you to go to a company formation agent unless you actually know what you are doing.

    Copying another company's memo and aticles when it is really a special purpose company can result in unwanted clauses and restrictions which were not apparent at the time. These clauses can result in much time and cost wasted in their removal or in the worst case may result in you becoming ineligable for registration as a charity with the revenue.

    Dbran is right. The M&A needs certain clauses included to allow you to register for Charitable status with the Revenue, so it is important you engage a company formation firm who have expertise in this particular area. It needs to be tailored towards your particular type of business. It can be disasterous just copying someone elses M&A...

    There's a number of errors and ommissions on that M&A taken from the Revenue website. For example, it should be the Companies Acts 1963-2009 - Not 1963-1999. There's been several amendments to the company's acts since 1999, so it's probably more of an example than anything..
