Changing address from UK to USA

Ok - UK registered company. Only 1 of the directors is from UK (rest are from Argentina etc.) Registered address is in UK at the UK directors home address. This director is moving to the USA and all the business sales are done online selling software. They pay random individuals from all over the world to produce the software and then they sell it through the company name through distributors and get a certain percentage of the sales.

What all will the company need to do - I presume it can't continue as a UK company once it has nothing to do with the UK and I'm sure the tax people in the states will want tax paid there.

PS- it will also be receiving a late filing penalty soon (whoops!) despite having no tax to pay. Is there any point paying this if splitting to the states>?

    Cheers in advance
