Transfer of shares?

    Hi,
    We set up a company last Oct - 4 of us with 25 shares each. Now one has left & we want to transfer 25 shares from that shareholder to another shareholder. I have filled out a stock transfer form from revenue site, but I'm not sure how to complete it.. any advice? Do I need a third party involved i.e. legal? I was told I'd to buy a from from a legal stationers? I have just printed S.D.4 but haven't filled it out.

    Any advice much appreciated!

    An SD4 form is only required if the value of the shares being transferred exceeds €1,000. If they are being transferred at face value (e.g. 25 shares of €1 each with no premium being paid) that equals €25 and so an SD4 does not need to be filled out.

    What you're looking for from the legal stationers is a stock transfer form. This would outline the name of the company, the number and value of shares being transferred, details of the transferee and transferor. The person who currently holds the shares would need to sign off as the transferee and the person to whom the shares are being transferred would sign off as the transferor. Once signed, you would keep these with all your corporate documentation. You do not need to file them with CRO or Revenue, but you would notify CRO of the transfer on a B1 form, the next time your annual return is due to be filed.
