philips 3310, any good?

    Hi,
    I'm thinking of using one of these with my yamaha rx-v2700. I would connect the composite and digital audio to the amp, then use the amps upscaling to hdmi. Would this give a decent result?
    The TV isn't anything too fancy, a 27" LCD, I'm more interested in getting the surround sound than the image quality.
    I'm reluctant to shell out much more than this (39e in some shops) as I hope eventually to get a PS/3 for a more complete media centre, then the philips can be recycled to the kids.
