Who signs the acticles and memorandum

    Hi

    I am just in the process of setting up a new company and have some things I need to check re the new memo and articles.

    1) Are the subscribers basically the new sharholders of the company?


    2) Who is able to witness the signatures of the subscribers? Can it be anyone or does it need to be a solicitor?

    Yes, the subscribers are the shareholders (where the company has a share capital). Anybody can witness the Memo and Arts signatures but the A1 form must be witnessed by a solicitor.

    I don't know if you're doing this yourself but, in my humble opinion, it is well worth paying the few hundred euro to get it down professionally. Also, if there is anything non standard about what you are doing, I would suggest consulting a professional accountant rather than just a company formation agent. You will presumably need one anyway and an initial consultation is often free.
