    RO Form A1 Hello there, I'm Ben,

    Myself and my wife and brother in law are setting up a business to get in to video production. I have just joined Boards.ie, I'm 32 nd should know better, but this is the first thread I have ever replied to. Please accept my apologies if my thread reply is not answering any particular thread that has been posted but I'm having a go all the same.

    I have a question and wondered whether anyone would be able to help?

    On the A1 form you need to complete to incorporate a Private Company Limited by Shares, there are two sections I'm not sure how to complete:

    Subscribers to memorandum and Company Capital and Stamp Duty Statement. The first part shall be completed I suppose once I have completed the Memorandum (which is another thing I need to work out). Do he directors simply have to sign this section. There's no one else involved in our company.

    Can anyone give me a heads up on what to complete in the Company Capital and Stamp Duty Statement?

    I have not used them but they might be what you are looking for. They seem very cheap. Again, I have not used them so I can't recommend them from experience.

    Don't fill out something you don't understand. Seriously! Plus you still need to file the memorandum & articles of association with that A1 form, which most people don't know how to fill out.

    Use a company formation agent. Its way easier and should only cost about €200-€300 depending on who you use.

    They are not registered company formation agents and as far as i know, using their service to set up a company takes approx 8-12 weeks.... you get what you pay for.

    Using a proper company formation agent, takes approx 3-5 working days to have your company registered.

    How does one get to be a company formation agent.

    You register as an agent with CRO but it would be advisable to get some training / qualifications with the ICSA (Institue of chartered secretaries & administrators) in order to understand what you're doing. I know a few company formation companies who haven't undergone any formal training in the secretarial field which i think is outrageous.

    so once you have the memorandum information clear in your head, the Form A1 shold be straightforward. You can't submit the A1 to the CRO without the memorandum anyway.

    If this is not making any sense, you should use an agent or accountant to look after this setup for you. It's a very straightforward piece of work for them.

    Wrong. The information on the A1 include registered office address, directors details & secretary details, trading & admin address etc, none of which are contained in the memorandum of association.

    Wrong again. Subscribers = shareholders which are totally different to the company directors.

    Also, the share capital section is left blank on a bought set of memorandum & articles of association, which means you have to fill it on on both the A1 and the m&a's
    so once you have the memorandum information clear in your head, the Form A1 shold be straightforward. You can't submit the A1 to the CRO without the memorandum anyway.

    What about the articles of association?
    If this is not making any sense, you should use an agent or accountant to look after this setup for you. It's a very straightforward piece of work for them.

    Finally...yes. An accountant or company formation agent would do the trick.

    I'm really sorry if i'm going on, but it drives me insane when people try to advise on something they're not sure of. Please people. Stick to your area's of expertise and don't try to advise people on something that you "kind of" understand!
