Subscribers To Memorandum of Articles Question

    Hi All

First time poster! Thought maybe the boards.ie community might be able to help me. I'm setting up a company myself, its a media company and i've drawn up the memorandum myself. I took 4 memorandums from similar companies, compared them and drafted the document from the 4 (They were all pretty much identical which was great).

I am the owner of the company and my brother is putting his name as a second director, as i need two to form the company. I wish to be the only shareholder. As it currently stands, I have myself as a subscriber to the memorandum and it says i am taking 100 shares.

Then, in the articles of association i have myself listed as a subscriber. Is this correct or do i need to list my brother as a subscriber too?

I have a hunch i may need to add him as a subscriber to the articles of association, and maybe also in the memorandum but with shares taken maked as zero?

Also, I have a peacekeeper marked as the witness for the A1 and he will also witness the signatures on the memorandum and articles of association. Does he need to feature as a subscriber?

Apologies if the questions seem pretty basic, i've obviously never done this before! Any help would be greatly appreciated.

    Thanks in advance
