Filling in your B1 online....non trading company

    Hi,

    I have a non trading company and I'm filling in my second B1 annual return online in the CRO website, but when I get to the documents enclosed section I need to select which documents I am enclosing with my return. Is there an exemption for a non trading company. Sending in my balance sheet will look funny as it will more or less be a blank on bar the shares part.

    anyone else suffer the same issue?

    You have to send in a balance sheet even if there is no activity in the accounts.

    Hi save in respect of the first six month annual and any annual return being filed with a form b73 to extend such annual return date every annual return must be filed with financial statements made up to a date not more than nine months preceding the annual return date.

    The content of such financial statements depends on the size of the Company. If like you say you have no turnover it is likely that you will qualify for audit exemption in which case such financial statements do not have to be audited. You may also qualify to file abridged financial statements for small company in which case all that is required to be filed with Annual Return is balance sheet and certain notes pertaining to same.

    Please remember that the financial period must be from incorporation to your chosen financial period end. Also note can be no more than months between financial period end and annual return you are filing.

    Also note you will need to hold an agm to approve the financial sttaemnts withing 18 of incorporation or within nine months of financial period end whichever date falls first.

    If you are a sinle member company you deispense with the requirement to hold agms. This can be dont by a resolution of the sole member.
