Upgrading/replacing MSI K8NGM2-FID motherboard

    I built a HTPC system based on msi K8NGM2-FID motherboard with an Athlon 64 X2 3800+, Corsair value 1GB DDR400 kit and Sapphire X1600 Pro 512MB DDR2 AVIVO TV-Out/DVI. I also have a PCI audigy sound card and PCI PVR 500 MCE. The motherboard has now died and Im looking to replace the motherboard but unsure whether it is worth replacing or would it be better upgrading the motherboard and processor and keeping the RAM etc.
