    Hi
Does anyone know the difference between "directors" and "members" as noted in articles of association of a company?
    Thanks
    EH

there a few different types of companies, without knowing which type the company is:
the members could refer to the shareholders, if its a limited company
or could be members of the company, if its a limited company with no share capital ie( anot for profit organisation)

    directors are directors no different.

In general, members put the capital up for the company.

    Directors run the company.

In general, the directors are elected by the members.

Being a director of a company is a fairly onerous responsibility.

Being a member of a company does not entail very much responsibility, other than paying for the shares you've bought or paying a guarantee.
