from my experience, all meetings - of any basic importance - are / should be minuted and if something of great importance is being discussed a board/ committee members absence for whatever short time , is noted. Also, if a board /committee member has a conflict of interest - which they should declare- in a discussion/decision being made they should vacate the meeting room and if they do not they should be requested to do so
all of the above is basic to running meetings properly and forms the basis of good governance along with other operating procedures.
