Problem with modem

have an netopia adsl 3341 modem, anytime i go into the setings and set the admin password, afterwards i save and restart modem, then i try to get back into modem through 192.168.1.254 it wont even connect

Perhaps your DHCP-allocated ip address became invalid when the modem restarted.

If you're running 2k or XP, try running ipconfig /renew from a command prompt after you restart the modem to obtain a fresh ip address and see if it works then.
