Liability for board member of a community organisation

    Can a board member of a private limited company (community organisation - voluntary position) avoid civil proceedings if they resign their position to avoid accountability?

    Is there any recourse?

    They'll still be on the hook for anything done while they were in office.

    And if something is proposed that they want no part of a simple resignation may not be enough to avoid liability. Depending on what exactly the offending activity is, there may be an obligation to report it to the proper authorities. (That would be a fairly extreme case, though.)
