IPR and new contract

    Hi folks,

    I am a software contractor - last year I did some work for a company under contract with no IPR clause in it ( my choice )
    They want to renew the contract but this year want an IPR clause.
    Problem is I have started to develop a product myself having spotted a gap in the market in the domain my employers are in.
    Now, they would not ever be in a position to develop their own product, but in fact might be a client of mine if I develop it and sell it to them.

    So, how do I go about proving I started developing this product prior to me signing my new contract?

    Any advice appreciated

    Obviously you would want to get a good (yours not their) legal advise on the matter, but could the new contract not stop you doing further work on this new product?
