Market trends. Intel is producing less and less tray CPUs and instead you get the box in most stores. So, the supply of the Tray CPU is lower, but the demand drives the price up.

One is a tray CPU, the other is a boxed retail one.

The tray CPU is just the CPU in a little plastic container (usually).
The retail one is as you'd expect - box, stock cooler, warranty card, etc.

The tray one should be cheaper (it's just the CPU, as it sounds like, off a tray of them, meant for OEMs/system builders, etc.) but because the demand for the boxed SKUs is higher, there's far more of them, so they end up being cheaper.

They're the same chip, and as you're paying €50 less to get a nice box and a cooler, makes sense to go with the retail one in this case.
