Not bad but the iPad Air is thinner, lighter, faster. And the difference in the first two is noticeable. I'd go for the Air.

I've an ipad 2 atm, would the ipad with retina display be a good upgrade from the ipad 2?

Visually, yes. I went from the 2 to the version that came out in Nov 2012 and the difference was huge.

However, if you can afford the Air then definitely get that. You get the retina and the light weight iPad. Winner all round.
