Midrange Upgrade

    My motherboard died this morning, I was going to wait until haswell was released before upgrading but this has forced my hand. I haven't been keeping up with new tech and am kinda out of the loop.

    Components I want to keep:

    NZXT Hush ATX case
    Corsair 650w PSU
    3TB western digital green x3
    80GB intel X25-M SSD
    NVidia 8800GTS GPU

    Use it mainly as file / print server, programming remotely and hosting virtual servers. It is usually kept in the living room and needs to be quiet + low power, I would like to use the onboard GPU but have the option of slotting in my old GPU to do some OpenGL programming.

    What I need:
    cpu - preferably intel, thinking high end i3 or low end i5, needs vt-x support and onboard GPU
    motherboard - needs 4+ sata ports, wake on lan support, S/PDIF out, eSata port, DVI-D port, no frills.
    ram - 4GB is enough, 8GB depending on price.
    heatsink/cooler.

    Budget is around 350e.
