Midrange Upgrade

My motherboard died this morning, I was going to wait until haswell was released before upgrading but this has forced my hand. I haven't been keeping up with new tech and am kinda out of the loop.

Components I want to keep:

NZXT Hush ATX case
Corsair 650w PSU
3TB western digital green x3
80GB intel X25-M SSD
NVidia 8800GTS GPU

Use it mainly as file / print server, programming remotely and hosting virtual servers. It is usually kept in the living room and needs to be quiet + low power, I would like to use the onboard GPU but have the option of slotting in my old GPU to do some OpenGL programming.

What I need:
cpu - preferably intel, thinking high end i3 or low end i5, needs vt-x support and onboard GPU
motherboard - needs 4+ sata ports, wake on lan support, S/PDIF out, eSata port, DVI-D port, no frills.
ram - 4GB is enough, 8GB depending on price.
heatsink/cooler.

Budget is around 350e.

You could jump to a 3570K and a Z77 board if you only need VT-x and not VT-d support, I threw in the 3470 though to be on the safe side. The 3570K would allow you to overclock, though I'm not sure if that's necessary in this case.

I was going to add an Intel board, as their usually the most reliable, but they're not cheap either. There's the standard 8GB of RAM there, as well as a probably overkill cooler, but I figure you might as well have a quiet and cool system, given the funds are there.

There's a chance that cooler won't fit in his case as its 170mm. The fan is rated at min speed of 900rpm which isn't very quiet on a 140mm in my opinion. I have a ty-147 fan however which is rated at the same speed but it runs at 700rpm at its lowest setting.

92mm fan at 600rpm is pretty much inaudible

It very much depends on the fan. Something like a Gentle Typhoon is damn-ear inaudible around the 800RPM mark. The horrible fan that came with my True Spirit 120 on the other hand? Rattles and buzzes like crazy.

OK, so I have the heatsink almost sorted, I'm trying to find a bolt-thru-kit for my thermalright ultra 120, scan are out of stock, hopefully they'll get back to me.

Given how rare those probably are at this point, you might just be better with a new cooler.
