Business Rates in shared office

    Hi all, I hope somebody can help me with some questions i have regarding commercial rates for an office space.

    Myself and a friend are both interested in starting SEPARATE businesses but to keep costs down, we are looking at sharing an office space together.
    We have found a place in the centre of town that suits us both, the rent is fine (we will split it obviously) and the landlord is fine with us both being there as two companies.

    Here is where it gets a little messy....

    The building is a well known landmark, downstairs is a large shop fronted business which is currently occupied. Above this there are two flats. One flat is larger - maybe 60-70% of the top floor, and a second which would be the remainding 30-40%. We are interested in the smaller (30-40% of the top floor) flat. According to the landlord the larger flat was used as a residence but is currently un-occupied and the smaller one was apparently never rented as accommodation and he states that it is still classed as commercial.

    here are my questions:
    As far as commercial rates go, how would this breakdown for myself and my friend, ie: We will only be renting maybe 40% of the upstairs between us both so do we get a valuation on ONLY our small office and then split that between us or as we are technically two separate business's do we both get charged the same rates for the whole of the office space?

    Also, regarding any outstanding debts on the space - is there any way i can GUARANTEE that we will not be liable for anything outstanding on the property? I understand that if a new tenant takes over an office - he/she may be liable for the previous two years commercial rates if they are outstanding, i believe i can check at the rates department if there are any outstanding commercial rates but what about any outstanding electricity/water/service charges etc - is there any way to confirm that these are paid up by the previous occupier?

    Sorry for my long post, i appreciate any helpwith this.
