It's a pretty major update, but mostly to iPad users, who will finally get the various iOS 4.x features like multitasking, folders, unified inbox, etc. For iPhone users, AirPlay and AirPrint will probably be the "biggest" new features, though there's a lot more that I'm probably forgetting about...

**** everything else you hear, the best new features are the new message tones (Noir for moi, even though it still plays Tri-tone for push alerts....) and FINALLY Helvetica for notes without having to write some **** in Chinese first.
