Change company name on CORE

    We want to change the name of our limited company. I'd like to save the extra €50 by doing this via CORE but would like to know more about the requirement to supply the "Amended Memorandum and Articles of Association", and also what's needed in the "Text of resolution" field.

    Can the entire process be completed over the net or do we still need to supply printed documents as well? Any other tips would be appreciated, such as potential pitfalls or unexpected requirements. I've done a search and there are no other companies which use our intended new name, so hopefully that won't be a problem. Thanks!

    You will need to provide them with a set of memorandum & articles of association, identical to your existing ones, but with the new name on them. If you used a company formation agent to set up the company i would advise phoning them for a soft copy of your m&a
    also what's needed in the "Text of resolution" field.
    "Subject to the approval of the Registrar of Companies, the name of the company shall be changed to XYZ Limited"

    Once you've prepared the form on CORE, a pdf form will automatically pop on screen at the end of the process. You need to sign this and submit it to the companies office as a hard copy along with a hard copy of the amended memorandum & articles of association.
    Any other tips would be appreciated, such as potential pitfalls or unexpected requirements.
    • A name change will not be accepted by the Companies Registration Office unless all the annual returns and accounts are up to date so make sure they are.
    • Ensure that when amending the memorandum & articles that all citations state "Companies Acts, 1963 to 2009" . Depending on when your company was registered the citation could be different.

    That doesn't necessarily make the name available. There are many rules in the companies office about similar names so be sure not to get anything printed until the new name has been accepted. If you want to call CRO and check it, don't ask the general information section as they'll tell you its available if its not on the system. Ask to speak to someone in the new companies section and they will tell you for sure whether it is available or not.

    Hi, don't forget a special resolution is required to change a company name, so the appropriate documentation to facilitate this also needs to be prepared..
