I use Total Video Converter. Its not freeware but I think its the dogs bollox.

Riva Encoder will convert to AVI. After that I normally use Virtual Dub for all my re-encoding.

I recommend using Super. Freeware too.

mediacoder, mencoder or virtualdub. And remember...2 pass is worth that 2nd pass.
