Looping through your first range run a COUNTIF function against the second range.

Vlookup should do it for you. I don't have Excel on this machine, but I would approach it like this:

    Col 1 Col 2 Col 3
    list 1 vlookup List 2
    : : :
    : : :

So Col 2 would contain some sort of flag to say what is in Col1 is pesent in Col 3. The Vlookup range would include all of List 2 in Col 3.
